These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("You" or "User") and Neuroworx Ltd ("We," "Us," or "Neuroworx"), a company registered in England and Wales under company number 14612373, with its registered office at 22 Charterhouse Square, London, England, EC1M 6DX. This agreement governs your use of the website at www.neuroworx.io (the "Site"), our Software-as-a-Service (SaaS) platform, assessments, tools, and any related services (collectively, the "Service"). By accessing or using the Service, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you are entering into this agreement on behalf of an entity, you represent that you have the authority to bind that entity. If you do not agree to these Terms, you must not use the Service. We may amend these Terms at our discretion with notice provided via the Site or email. Your continued use of the Service following such amendments constitutes acceptance of the revised Terms.

1. Definitions

For the purposes of these Terms:

  • Content: Any text, data, job descriptions, assessments, results, logos, trademarks, or other materials uploaded, generated, or shared via the Service.

  • Employer: A User utilizing the Service to create assessments, screen candidates, or facilitate hiring.

  • Talent or Candidate: An individual interacting with the Service or assessments as a potential employee.

  • Order: Any subscription plan, free trial, or purchase agreement detailing your access to the Service.

  • Term: The duration of your subscription or access period as specified in the Order.

  • Neuroworx Parties: Neuroworx, its affiliates, officers, directors, employees, agents, licensors, and suppliers.

2. Access and Use of the Service

Subject to these Terms and your compliance with the Order, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes. This license does not confer ownership rights.

You agree to:

  • Be at least 18 years of age or the legal age of majority in your jurisdiction.

  • Provide accurate and complete registration information.

  • Maintain the confidentiality of your account credentials and be responsible for all activities conducted under your account.

You are prohibited from:

  • Reverse-engineering, decompiling, or attempting to circumvent the security of the Service.

  • Using the Service for any illegal purpose, including spamming or harassment.

  • Uploading malicious software or content that may impair the Service or other users.

  • Scraping data or automating access without prior written consent from Neuroworx.

  • Misrepresenting your identity or impersonating another party.

  • Interfering with the Service’s functionality or security measures.

We reserve the right to monitor usage for compliance and may suspend or terminate access without notice if these prohibitions are violated.

3. Ownership and Intellectual Property

All intellectual property rights in the Service, including but not limited to software, designs, algorithms, assessments, and trademarks (e.g., "Neuroworx," "NX"), are owned exclusively by Neuroworx. No rights are transferred to you except as expressly provided herein.

You retain ownership of Content you upload, but by doing so, you grant Neuroworx a perpetual, irrevocable, worldwide, royalty-free license to use, modify, store, reproduce, distribute, and create derivative works from such Content to provide and enhance the Service. This includes the use of anonymized data for analytics, research, and artificial intelligence development.

You may not remove, alter, or obscure any proprietary notices on the Service. Feedback provided by you regarding the Service becomes the property of Neuroworx without compensation.

4. Data Privacy and Security

Neuroworx’s Privacy Policy, available on the Site, governs the processing of personal data. As a data processor under the General Data Protection Regulation (GDPR) and UK GDPR, we process data on your behalf as the data controller.

You warrant that:

  • You have obtained all necessary consents for data uploaded to the Service.

  • Your use of the Service complies with applicable data protection laws.

We implement industry-standard security measures, but cannot guarantee absolute security. Any security breaches must be reported to support@neuroworx.io promptly.

Aggregated, anonymized data may be used for analytics, research, and marketing purposes, provided no individual or business is identifiable without consent.

5. Subscriptions, Free Trials, and Payments

  • Subscriptions: Subscriptions are recurring and will automatically renew on the anniversary date unless canceled. Cancellation may be effected at any time via your account, with access continuing until the end of the current Term. No refunds will be issued for partial periods.

  • Free Trials: Limited to evaluation purposes, with one trial permitted per organization. Neuroworx may terminate a trial at its discretion, and usage limits apply. Exceeding these limits may incur charges.

  • Payments: Fees are payable in advance via credit card or invoice, in GBP (or the currency specified), plus applicable taxes or VAT. Late payments will incur interest at 1.5% per month and collection costs. Payments are processed through a PCI-compliant third-party gateway.

  • Price Changes: Neuroworx may adjust fees with 30 days’ prior notice. Continued use after such notice constitutes acceptance.

  • No Refunds: All fees are non-refundable, including for unused access, downgrades, or terminations.

Access may be suspended for non-payment until resolved.

6. Service Levels and Support

Neuroworx aims to maintain 99% uptime, excluding scheduled maintenance. If downtime exceeds 5% in a given month, a pro-rata credit may be issued upon request within 30 days.

Support is available via email or in-app chat during UK business hours. Response times are not guaranteed for free trial users.

The Service may be updated at any time, with notice provided for significant changes.

7. Conduct Regulations Compliance

Under the Conduct of Employment Agencies and Employment Businesses Regulations 2003, Neuroworx acts as an employment agency, Employers as hirers, and Candidates as work-seekers.

Employers must provide accurate information to ensure compliance and indemnify Neuroworx against claims arising from breaches, including inaccurate or incomplete data.

Candidates must supply requested information promptly. Failure to do so may prevent introductions to Employers.

8. Warranties and Disclaimers

The Service is provided "as is" and "as available," with all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, expressly disclaimed to the fullest extent permitted by law.

Neuroworx does not warrant that the Service will be error-free, uninterrupted, secure, or meet your specific requirements. Assessments are provided as tools and do not guarantee candidate performance. You assume full responsibility for hiring decisions.

Certain jurisdictions may not permit the exclusion of warranties; such exclusions are limited to the extent required by mandatory law.

9. Limitation of Liability

Neuroworx and the Neuroworx Parties shall not be liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, data, or business opportunities, even if advised of the possibility.

The total liability of Neuroworx under these Terms shall not exceed the fees paid by you in the 12 months preceding the claim.

Nothing in these Terms limits liability for death, personal injury resulting from negligence, fraud, or other liability that cannot be excluded or limited by law.

Third parties have no rights to enforce these Terms.

10. Indemnification

You agree to defend, indemnify, and hold harmless Neuroworx and the Neuroworx Parties from any claims, losses, damages, liabilities, or expenses (including reasonable legal fees) arising from:

  • Your Content or use of the Service.

  • Breach of these Terms or applicable laws.

  • Your hiring decisions or data handling practices.

  • Infringement of third-party rights.

This obligation survives termination of the agreement.

11. Termination

You may terminate your account at any time, with access ceasing at the end of the current Term.

Neuroworx may terminate or suspend your access immediately, with or without notice, for:

  • Breach of these Terms.

  • Non-payment of fees.

  • Legal or regulatory requirements.

  • Business discretion.

Upon termination, all access will cease, and data will be deleted after 30 days unless retention is required by law. No refunds will be issued, and provisions related to IP, liability, and indemnity will survive.

12. Force Majeure

Neither party shall be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, or infrastructure failures. The affected party must notify the other promptly and use reasonable efforts to resume performance. If the event persists for more than 30 days, the unaffected party may terminate the agreement with written notice.

13. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

Parties are encouraged to resolve disputes informally by contacting support@neuroworx.io within 30 days. If unresolved, legal proceedings may commence. No class actions are permitted; arbitration may be elected by Neuroworx on an individual basis.

14. Miscellaneous

  • Entire Agreement: These Terms, together with the Order and Privacy Policy, constitute the entire agreement between the parties. No oral modifications are valid.

  • Severability: If any provision is found invalid, the remaining terms remain enforceable.

  • Waiver: Failure to enforce any right does not constitute a waiver.

  • Assignment: Neuroworx may assign this agreement; you may not without prior written consent.

  • Notices: Notices will be sent via email or posted on the Site.

  • Confidentiality: Non-public information must be kept confidential for three years post-termination.

  • Export Controls: You agree to comply with all applicable export control laws and not use the Service in embargoed regions.
